1. Legal Status & Non-Intermediary Disclosure
1.1 Technology Platform: Rupiece is a software platform providing simulation-based assessment and analytical tools.
1.2 SEBI Compliance: Rupiece is a technology and research service provider that operates in alignment with SEBI guidelines and Indian regulatory frameworks. We do not engage in activities requiring registration as a Stock Broker or Investment Advisor, such as handling public funds or providing securities intermediation.
1.3 No Advisory: We do not provide trade signals, "tips," or investment advice. All trading decisions made by users during evaluation are self-directed.
1.4 Evaluation Fee: The fee paid is an **Evaluation Fee** to access the selected challenge and performance simulation software. It is not a "subscription" or "trading deposit."
1.5 Corporate Desk: Professional engagement (Phase 3) is a consultancy relationship where selected individuals provide market insights via corporate-owned accounts.
2. The Evaluation Environment (Phase 1 & 2)
2.1 Strictly Virtual: All trading in Phase 1 and Phase 2 is conducted on Virtual Demo Accounts. No real capital is ever deployed, and no market orders are routed to actual exchanges (NSE/BSE/MCX) during this period.
2.2 Educational Fee: The fee paid is a Subscription Fee for access to proprietary training software and data analytics. It is not an "investment" or "trading deposit."
2.3 Performance Assessment: The primary goal is to identify traders who demonstrate consistent risk management and discipline.
3. Mandatory Risk Acknowledgment
3.1 High Volatility: Indian equity and derivative markets are subject to significant price fluctuations.
3.2 No Profit Guarantees: Success in a virtual simulation does not guarantee success in professional consulting or live environments.
3.3 Psychological Risk: Users acknowledge that simulated trading may lead to different emotional responses compared to real-capital environments.
4. Fees, Taxes & Refunds
4.1 SaaS Classification: Fees are classified as Software-as-a-Service (SaaS) subscription fees.
4.2 Tax Treatment: All listed fees are inclusive of all applicable taxes and overheads. Rupiece does not collect GST separately if not registered.
4.3 Non-Refundable Policy: Once simulation credentials are provided, the service is deemed delivered. Fees are non-refundable.
4.4 TDS Compliance: Performance-based payouts in the Professional Phase are subject to 10% TDS under Section 194J of the Income Tax Act.
5. Service Delivery Policy
5.1 Digital Delivery: Upon successful payment, simulation credentials and dashboard access are delivered electronically via the user's registered email address and in-app notification.
5.2 Timeline: Credentials are typically generated and delivered within 10-60 minutes of payment verification.
6. Privacy & Data Protection
6.1 Data Use: Rupiece collects and processes user data strictly for the purpose of identity verification, performance tracking, and communication regarding the subscription.
7. Anti-Gaming & Integrity
7.1 Algo Integrity: Users must not engage in high-frequency spamming or order-stacking that would violate SEBI guidelines.
7.2 Zero Tolerance Policy: Any account found engaging in cheating, exploit-seeking, or illegal activities (including but not limited to account sharing, arbitrage, or market manipulation) will be terminated immediately without any prior notice. In such cases, the user will not be eligible for any refunds or payouts.
7.2 MAC-ID Binding: Access is restricted to whitelisted hardware IDs to ensure the integrity of the skill assessment.
8. Jurisdiction
These terms are governed by the laws of India. Any disputes shall be resolved via the SMART ODR Portal or through arbitration in New Delhi, India.
